Gomry provides a technological platform that facilitates data exchange and payment transactions between merchants ("Merchants") and end-users ("Users"). We do not sell products or services; instead, we enable Merchants to offer their products or services to Users through our platform.

4. User Accounts

4.1 Registration

To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary.

4.2 Account Security

You are responsible for safeguarding your account credentials and for any activities or actions under your account. You agree to notify Gomry immediately of any unauthorized access or use of your account.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time, for any reason or no reason, without notice or liability to you. This may include, but is not limited to, violation of these Terms or any applicable laws or regulations.

5. User Conduct

5.1 Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Violating any applicable laws or regulations.

  • Interfering with or disrupting the Services or servers.

  • Impersonating another person or entity.

  • Collecting personal data from other Users without their consent.

  • Using the Services for any fraudulent or illegal purposes.

5.2 Content Standards

Any content you post or submit through the Services must be accurate, lawful, and not infringe on any third-party rights. We reserve the right to remove any content that violates these Terms.

6. Transactions with Merchants

6.1 Merchant Responsibility

All products and services offered through the Services are sold by Merchants, not by Gomry. Merchants are solely responsible for:

  • The quality, safety, legality, and availability of their products or services.

  • Providing accurate descriptions and information.

  • Handling shipping, delivery, and fulfillment.

  • Managing returns, refunds, and customer service.

6.2 Taxes

Merchants are solely responsible for collecting, reporting, and remitting any taxes associated with the sales of their products or services. Gomry is not responsible for any tax obligations related to transactions between Users and Merchants.

6.3 Refunds and Cancellations

Gomry acts solely as a payment facilitator and is not responsible for refunds or the delivery of goods or services. Unless explicitly stated otherwise by the Merchant, all payments are final and non-refundable. All refund and cancellation requests must be directed to the Merchant. Gomry does not process refunds or mediate disputes between Users and Merchants.

6.4 Disputes with Merchants

Any disputes arising from transactions with Merchants must be resolved between you and the Merchant. Gomry is not liable for any claims, damages, or liabilities arising from such disputes.

7. Disclaimer of Warranties

7.1 Services Provided "As Is"

The Services are provided on an "as is" and "as available" basis. Gomry makes no warranties or representations of any kind, express or implied, regarding the Services or any content therein.

7.2 No Liability for Merchant Actions

Gomry is not responsible for any actions, promises, or representations made by Merchants. We do not guarantee the quality, safety, legality, or accuracy of any products or services offered by Merchants.

8. Limitation of Liability

To the fullest extent permitted by law, Gomry shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Services or any transactions with Merchants.

9. Indemnification

You agree to indemnify, defend, and hold harmless Gomry, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • Your use or misuse of the Services.

  • Your violation of these Terms.

  • Your transactions or disputes with Merchants.

  • Your violation of any rights of another party.

10. Intellectual Property

10.1 Gomry's Intellectual Property

All content, trademarks, logos, and data on the Services are the property of Gomry or its licensors. You are granted a limited, non-exclusive license to access and use the Services for personal, non-commercial purposes.

10.2 User Content

By submitting content through the Services, you grant Gomry a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with the Services.

11. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Third-Party Links and Content

The Services may contain links to third-party websites or resources. Gomry is not responsible for the availability, content, or accuracy of such websites or resources, and does not endorse them. You access them at your own risk.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the federal or state courts located in San Francisco, California.

14. Miscellaneous

14.1 Entire Agreement

These Terms constitute the entire agreement between you and Gomry regarding your use of the Services and supersede any prior agreements.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

The failure of Gomry to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
